Quote and agreement
All quotes by Regal Interactive – under which images, drawings, texts, specifications, price lists and other documentation are included – are entirely non committal, unless agreed differently upon in writing and are covered by copyright.

Website
After an agreement about building a website has been approved Regal Interactive will start its activities. Directly after completion the agreed principle amount is payable. The client agrees to hand over all data necessary to build the website to Regal Interactive and stands for its accuracy and completeness. If the client has not answered this request within a period of 4 weeks Regal Interactive will abort their activities. Regal Interactive retains all intellectual property rights over the agreed developed website, including preparational material. Client will only receive the user rights that are explicitly implied in these conditions or otherwise, and other than that the client will not multiply, copy or unrightfully utilize the software or other materials, under penalty of a to be determined compensation. Regal Interactive vows confidentiality regarding third parties over all that is informed to her concerning the business of her client, unless otherwise necessary for the website.

Rates
All given rates are excluding VAT and other charges imposed by the government. In case of an agreement in which the client will pay periodically, Regal Interactive holds the right to change the agreed rates and tariffs for a term of at least two (2) months, by agreement.

Delivery period
The given or agreed delivery periods are always approximate. Exceedance of the agreed delivery time can never justify a termination of the agreement by the client. If the agreed delivery date is exceeded the client will allow Regal Interactive the opportunity to deliver within 4 weeks. If Regal Interactive is unable to keep to the delivery obligation by a temporary force majeure communicated with the client, no termination can occur, save agreed on by Regal Interactive.

Warranty
Regal Interactive can at all times, before proceeding to deliver, demand all due claims, regarding earlier made (part) deliveries or concerning the current delivery, of Regal Interactive to be met by the client. In case the due payment has not been received in a timely manner by Regal Interactive, it empowers them to suspend the delivery and, in case the client does not comply after summons, terminate the agreement for the remaining part by unilateral declaration, retaining the right to compensation.

Payment
The payment of the invoices are to be met within the agreed period onto a by Regal Interactive specified bank and or giro account number. A received payment is deducted from the oldest outstanding claim. The date of receipt on the account of Regal Interactive is the payment date. If the client does not meet his payment obligation at all or within timely manner, the client is legally, no notice required, in default. Interest is then payable by the client, of 1,5% per month or part of it, unless legal interest is higher, in which case the legal interest shall apply. In case the payment is not met after formal notice, in which a final deadline of payment is offered, Regal Interactive is entitled to hand over the claim for collection. All cost connected to the collection, including dunning, judicial and extrajudicial costs are payable by the client to Regal Interactive. In case a part of the invoice is disputed by the client, the fact remains that the other, undisputed parts remain payable according to the terms and conditions.

Deposits
Regal Interactive holds the right to request deposits on assignments over € 100 excl. VAT the deposit varies per assignment, but will amount to 30 -50% of the agreed rate.

Reclamation
Possible reclamations are to be brought to the attention of Regal Interactive by the client within 14 days of receiving the goods and or services. Slight, commercially acceptable or technically impossible to avoid, differences in quality and color are no reason for possible reclamation. The client can, in case of untimely and/or incorrect delivery, not claim any compensation for claimed damages.

Applicable law and dispute settlement
All disputes, resulting from the agreements or execution thereof by Regal Interactive, between Regal Interactive and the client will initially be exclusively submitted to a Dutch court in the place of establishment or actual residence of the client. On all agreements between Regal Interactive and the client the Dutch law applies exclusively.
